1. Purpose of These Disclosures
These Disclosures explain important limitations, dependencies, qualifications, and operational realities associated with ProminentClicks™, a Signature Solution by Digitalutions LLC (“Digitalutions,” “ProminentClicks,” “we,” “us,” or “our”). They apply to the website, marketing materials, demonstrations, consultations, proposals, and Services offered through ProminentClicks.
These Disclosures supplement the ProminentClicks Terms of Service, Privacy Policy, and any applicable proposal, order form, statement of work, or Service Agreement.
2. No Affiliation with Search and Advertising Platforms
ProminentClicks and Digitalutions LLC are independent businesses. Unless expressly stated in writing, we are not owned by, endorsed by, sponsored by, certified by, or affiliated with Google, Microsoft, Bing, Meta, LinkedIn, Stripe, or any other search engine, advertising platform, software provider, or technology company referenced in connection with the Services.
All third-party names, logos, trademarks, and service marks belong to their respective owners and are used only for identification or descriptive purposes.
3. Search Clicks Disclosure
Search Clicks is a performance-based search acquisition service designed to generate verified website traffic through search suggestion and related search-demand technology. Availability, activation timing, search-term selection, market capacity, traffic volume, delivery pace, and reporting can vary by market, industry, location, competition, search behavior, and third-party technology.
Search engines and technology providers may modify, restrict, suspend, or discontinue features, policies, interfaces, data access, or delivery methods at any time. ProminentClicks does not control search-engine algorithms, platform policies, user behavior, or third-party technology infrastructure.
Search Clicks does not guarantee a specific number of impressions, searches, clicks, leads, appointments, customers, sales, revenue, rankings, conversion rate, cost savings, or return on investment unless a separate written agreement expressly states a measurable commitment and the conditions that apply.
4. Search Click Verification and Reporting
Search Clicks reporting may rely on one or more verification methods, including campaign systems, analytics platforms, click-path data, website activity, and third-party reporting tools. Differences may occur between platforms because of attribution windows, consent settings, browser restrictions, ad blockers, cookie limitations, filtering, duplicate-session treatment, delayed reporting, or other technical factors.
No analytics or attribution system is perfectly complete. Client should review campaign reporting together with its own website analytics, lead records, CRM data, and sales outcomes.
5. Market Protection and Exclusivity
Any market protection, category protection, search-term protection, or exclusivity is contractual and operational only. It is not granted, administered, monitored, or guaranteed by Google, Microsoft, Bing, or any other platform.
The scope and duration of any protection will be defined in the applicable Service Agreement. Protection may depend on active account status, timely payment, campaign availability, compliance, market conditions, and continued service eligibility.
6. Local Service Ads Disclosure
Local Service Ads are operated by Google or another applicable platform. Eligibility, verification, background checks, licensing, insurance requirements, service categories, geographic availability, ranking, lead volume, account status, suspension, billing, dispute outcomes, and ad visibility are controlled by the platform.
ProminentClicks may assist with setup, optimization, budgeting, profile management, lead review, dispute support, reporting, and related services, but cannot guarantee approval, verification, ranking, placement, lead quantity, lead quality, cost per lead, dispute credits, or uninterrupted account availability.
Advertising spend paid to Google or another platform is separate from ProminentClicks management or service fees unless a written agreement expressly states otherwise.
7. Lead Quality and Platform Billing
Leads generated through Local Service Ads or other advertising platforms may include inquiries that are incomplete, unqualified, duplicated, misdirected, outside the service area, outside business hours, or otherwise unsuitable. Platform definitions of a valid, charged, disputed, credited, or ineligible lead are determined by the platform.
ProminentClicks may assist with review or dispute processes, but the platform makes the final decision. No specific recovery rate, credit amount, or dispute outcome is guaranteed.
8. Conversion Systems Disclosure
Conversion Systems may include AI-assisted reception, voice agents, chat, missed-call text-back, lead routing, qualification, appointment scheduling, follow-up, CRM workflows, reporting, and other automated or semi-automated communications.
Automated systems may experience delays, outages, integration failures, transcription errors, misunderstood intent, incorrect routing, incomplete responses, or other errors. Client should maintain appropriate human oversight, escalation procedures, backup processes, and review standards.
Conversion Systems are not a substitute for professional judgment, emergency response, legal advice, medical advice, financial advice, or other regulated professional services.
9. AI and Voice Interaction Disclosure
Website visitors, prospects, leads, clients, or end customers may interact with AI-assisted or automated systems. These systems may identify themselves as automated or AI-assisted where appropriate or legally required.
AI-generated or automated responses may be incomplete, inaccurate, delayed, or unsuitable for a particular situation. Users should verify important information and request human assistance when needed.
Calls or voice interactions may be monitored, recorded, summarized, or transcribed where legally permitted and with any required notice or consent. Client is responsible for ensuring that its deployment and use of these features complies with applicable federal, state, local, and industry-specific laws.
10. SMS, Email, and Telephone Communications
Messaging and calling features may be subject to consent requirements, opt-out obligations, registration requirements, carrier rules, do-not-call restrictions, quiet hours, content limitations, recordkeeping duties, and other legal or platform requirements.
ProminentClicks may provide technology, workflows, scripts, or implementation support, but Client remains responsible for its messaging content, contact lists, consent records, campaign purpose, sending practices, and compliance.
11. Third-Party Platforms and Service Providers
The Services may depend on third-party platforms, software, APIs, hosting providers, telecommunications carriers, payment processors, analytics systems, advertising platforms, fulfillment partners, subcontractors, and other vendors.
These providers may change features, pricing, policies, eligibility, integrations, availability, usage limits, or terms without notice. Their outages, delays, errors, suspensions, or policy decisions may affect the Services. ProminentClicks is not responsible for acts or omissions outside its reasonable control.
12. Website, CRM, Analytics, and Integration Access
Some Services may require Client to provide access to websites, landing pages, analytics accounts, advertising accounts, webmaster tools, CRM systems, calendars, phone systems, domain settings, hosting, or other platforms.
Client is responsible for maintaining valid permissions, credentials, licenses, account ownership, security controls, backups, and internal approval for any access granted. Changes made by Client, another vendor, or a platform may affect performance or functionality.
13. Results and Performance Disclaimer
Marketing and business results depend on many factors beyond our control, including demand, competition, pricing, reputation, offer quality, website quality, market conditions, budget, platform changes, lead handling, response time, staffing, sales process, customer experience, and client execution.
Past performance, examples, case studies, demonstrations, benchmarks, projected savings, click estimates, lead estimates, or illustrative scenarios do not guarantee future results.
14. Statistics, Benchmarks, and Educational Content
Statistics, market data, industry benchmarks, examples, and educational materials may be drawn from third-party sources, platform data, vendor materials, surveys, internal analysis, or illustrative models. They may be generalized, approximate, dated, or not representative of every business, market, category, or campaign.
Users should not rely on generalized statistics as a substitute for business-specific analysis.
15. Testimonials, Reviews, and Case Studies
Testimonials, reviews, and case studies reflect individual experiences and may not represent typical results. Results vary. Where a material connection, incentive, referral relationship, or other disclosure is legally required, it should be provided with the applicable testimonial or endorsement.
16. Partner, Referral, and Commercial Relationships
ProminentClicks may enter referral, reseller, fulfillment, revenue-share, wholesale, co-branded, white-label, or other commercial relationships with qualified partners and service providers. Digitalutions may receive fees, commissions, discounts, revenue share, or other economic benefits from certain relationships.
Such arrangements do not change our obligation to present services accurately or to disclose material limitations. Specific commercial terms are governed by separate agreements.
17. Regulated and Professional Industries
Businesses in legal, healthcare, financial services, insurance, mortgage, real estate, home services, and other regulated industries may be subject to licensing, advertising, privacy, communications, recordkeeping, professional-conduct, disclosure, and industry-specific requirements.
Client is solely responsible for determining whether the Services, campaigns, scripts, claims, offers, communications, and workflows are lawful and appropriate for its business, jurisdiction, and professional obligations.
18. No Legal, Medical, Financial, or Tax Advice
Information provided on the website, in demonstrations, during consultations, or through the Services is for general business and educational purposes. It is not legal, medical, financial, accounting, tax, compliance, or other professional advice.
You should consult qualified professional advisors regarding your specific obligations and circumstances.
19. Privacy and Data Responsibility
Our handling of personal information is described in the Privacy Policy. Client is responsible for providing required privacy notices, obtaining necessary consents, maintaining lawful data sources, honoring rights requests, and instructing us appropriately when personal information is processed through the Services.
20. Pricing and Service Scope
Website descriptions are general and may not include every feature, condition, limitation, usage allowance, implementation requirement, fee, or third-party charge. Pricing, scope, timelines, service levels, and obligations are determined by the applicable proposal, order form, or Service Agreement.
Any promotional pricing, trial, credit, bonus, free overage, pilot, or special arrangement may be limited, conditional, temporary, non-transferable, and subject to separate terms.
21. Service Changes and Availability
We may modify, replace, suspend, or discontinue Services, features, vendors, delivery methods, or technology where reasonably necessary because of platform changes, vendor changes, security, compliance, commercial feasibility, or product development.
Where a change materially affects an active engagement, we will address it in accordance with the applicable Service Agreement.
22. Intellectual Property and Illustrative Materials
Website content, branding, diagrams, workflows, screenshots, mockups, simulations, demonstrations, and examples may be proprietary, illustrative, simplified, or representative rather than literal depictions of every client implementation.
No license to copy, reproduce, distribute, reverse engineer, or create derivative works is granted except as expressly stated in writing.
23. Updates to These Disclosures
We may update these Disclosures from time to time to reflect changes in Services, platforms, laws, vendors, or business practices. Revised Disclosures will be posted with an updated effective date.
